WHO IS LOCKSLEY RESOURCES?

Locksley Resources Limited is an Australian exploration company incorporated in October 2018 for the purposes of identifying and assessing resource opportunities within Australia.

The Company is focused on the acquisition, exploration and development of mineral resources projects which have the potential to deliver significant growth for Shareholders.

Locksley Resources has recently entered into a tenement sale agreement to which it has the option to acquire a 100% legal and beneficial interest in the highly prospective Tottenham Project.

Locksley Resources Limited Ltd (ACN 629 672 144) (Company) lodged a prospectus with the Australian Securities and Investment Commission (ASIC) on or about 18 May 2021 (Prospectus) for an offer of 25,000,000 fully paid ordinary shares in the capital of the Company (Shares) at an issue price of $0.20 per Share to raise $5,000,000 (before costs) (Public Offer). The Prospectus also incorporates a secondary offer of 20,000,000 Shares and 5,000,000 options to acquire Shares (Options) to the Vendors in consideration for the Acquisition (Vendor Offer), under which no funds will be raised (collectively, the Offers).

Neither ASIC, ASX nor any of their respective officers take any responsibility for the contents of the Prospectus or the merits of the investment to which the Prospectus relates. No Shares or Options (together, Securities) will be issued on the basis of the Prospectus later than 13 months after the date of the Prospectus.

Exposure Period

In accordance with the Corporations Act, the Prospectus is subject to an exposure period of 7 days from the date of lodgement with the ASIC (Exposure Period). This period may be extended by the ASIC for a further period of up to 7 days.  The purpose of the Exposure Period is to enable the Prospectus to be examined by market participants prior to the raising of funds. You should be aware that this examination may result in the identification of deficiencies in the Prospectus and, in those circumstances, any application that has been received may need to be dealt with in accordance with Section 724 of the Corporations Act.  Applications for Securities under the Prospectus will not be processed by the Company until after the expiry of the Exposure Period. No preference will be conferred on applications lodged prior to the expiry of the Exposure Period.
